1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Systemonomic ("Company," "we," "us," or "our") concerning your access to and use of the Systemonomic platform (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Service Description

Systemonomic provides work domain analysis (WDA), task management, AI task suitability scoring (ATSS), and organizational design tools ("Service"). The Service is a decision support tool intended to assist users in analyzing and designing organizational systems.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate any third-party rights.

7. Data and Privacy

8. Disclaimers and Limitations of Liability

We do not warrant that:

8.2 Professional Judgment Required

The Service provides analytical tools and should not be used as a substitute for professional judgment, advice, or services. All outputs and recommendations generated by the Service should be reviewed and validated by qualified professionals before implementation or reliance.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYSTEMONOMIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

9. Indemnification

You agree to defend, indemnify, and hold harmless Systemonomic and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and cancel your subscription.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
